Sec. 9-301. Policy on Provision of Legal Counsel for the President and the Trustees and on Indemnification.
It is the policy of the University that whenever any claim is made, civil action commenced, or judgment rendered against any Trustee or the President, involving actions undertaken by a Trustee or the President on behalf of the University and within the scope of the Trustees' or President's authority, the University will provide the services of the University's General Counsel or other attorney approved by the Board to advise and represent Trustees or the President concerning any claim or civil action. The University may compromise, settle, and pay such claim or judgment and may pay any judgment for damages awarded against Trustees or the President as a result of any civil action except for actions arising from intentional tort, gross neglect of duty, or willful or wanton misconduct.
Sec. 9-302. Scope and Intent of this Subpart.
This subpart applies with respect to the Trustees and the President. Nothing in this subpart shall be deemed to impose any liability on the University nor shall this subpart prevent the Board from extending this policy to situations in which the Trustees and the President are not entitled to the benefits of the policy, where it is determined by the Board that it is proper to do so.
